muukly

Welcome to muukly! muukly provides a platform (the "Service") that allows you to interact with an AI assistant powered by a third-party Large Language Model (LLM) (e.g. OpenAI's ChatGPT). These Terms of Use ("Terms") are a binding agreement between you and muukly governing your access to and use of the Service. By using muukly, you agree to these Terms. If you do not agree, you must not use the Service.

Active Development (Beta): You acknowledge that muukly is in an early-stage MVP/Beta status and is actively undergoing development and testing. The Service (including any AI features) is provided “as is” on an experimental basis, without any guarantees of full functionality, accuracy, or availability. Features may change, be added or removed, or the Service may be discontinued at any time without notice as we continue to improve muukly.

Eligibility and Account

Eligibility: You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use muukly. If you are under 18, you must use the Service under the supervision of a parent or legal guardian who agrees to these Terms. By using muukly, you represent that you meet these requirements. muukly is not intended for children under 13, and we do not knowingly collect personal data from them.

Account Registration: In the current beta, you may or may not be required to create an account. If account creation is available, you agree to provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of any login credentials and for all activities under your account. You must notify us promptly at our contact email if you suspect any unauthorized access to your account. You may not share your account or use another person's account without permission.

Acceptable Use

When using muukly, you agree to use the Service only for lawful and appropriate purposes. You are responsible for your conduct and any content you input into muukly. You agree that you will not do any of the following (and will not assist or encourage others to do so):

Illegal Activities: Use the Service for any unlawful, harmful, fraudulent, or malicious purpose, or in any manner that violates applicable laws or regulations. This includes not using muukly to engage in criminal activity, harass others, or disseminate defamatory, violent, or otherwise objectionable content.
Intellectual Property Infringement: Input or share any content that you do not have the right to use, or that infringes or misappropriates the copyrights, trademarks, trade secrets, privacy, publicity or other rights of any third party. You must not use muukly to violate others’ rights.
Interference and Misuse: Interfere with, disrupt, or damage the Service. For example, you may not introduce viruses or malware, engage in spamming, launch denial-of-service attacks, or attempt to circumvent any security or content filtering measures. You also agree not to use any automated means (bots, scripts, scrapers) to access or collect data from muukly, except as explicitly permitted by us.
Reverse Engineering: Attempt to reverse engineer, decompile, or extract the source code or underlying models of muukly or the AI system it connects to. You must not try to discover the internal architecture, algorithms, or software of our Service or the third-party AI.
Misrepresentation and Misuse of Output: You will not represent AI-generated content ("Output") as human-generated when it is not. You also must not use any Output from muukly in a manner that implies it is factual or endorsed by muukly if it is not. For example, you should not present AI-generated answers as professional advice or certified information.
Competing Services: You will not use muukly or its outputs to develop or enhance a competing product or service using AI models. Similarly, you agree not to use muukly to attempt to create or train other AI systems in a way that competes with our Service.
Other Harmful Activities: Refrain from any activity that could harm muukly, its infrastructure, its third-party providers, or other users. This includes attempting to overload the system or exploiting any vulnerabilities. You also agree to comply with any usage limits (such as rate limits) that we may impose.

muukly reserves the right to suspend or terminate your access for violations of this Acceptable Use section or any other provision of these Terms.

AI Outputs and User Acknowledgments

AI-Generated Content (Output): muukly enables you to enter prompts or questions ("Input") and receive AI-generated responses ("Output") from the underlying LLM. You understand that by the nature of AI technology, Outputs may be unpredictable and not always reliable. Specifically, you acknowledge and agree to the following important points regarding AI output:

No Guarantee of Accuracy: The AI may generate information that is incorrect, misleading, incomplete, or out-of-date, even if it is presented in a confident or detailed manner. Output may not always be accurate or factual. muukly makes no warranty that any content generated is correct, truthful or reliable.
Not a Substitute for Professional Advice: You should not rely on Output as a sole source of truth or advice for important matters. Content provided by muukly is for general informational and experimental purposes. It is not a substitute for professional advice (such as legal, medical, financial, or other expert guidance) and should not be used as such. Always seek the advice of a qualified professional for any decisions that could have significant consequences.
User Should Verify Content: You are responsible for evaluating and verifying the accuracy and appropriateness of any Output before you use or act on it. Independently confirm important information. If you choose to share or publish any content generated via muukly, you should fact-check and review it (using human judgment) to ensure it is correct and suitable for your context.
No Decisions About Others Without Verification: You must not use any Output about an identifiable person to make decisions that could impact that person’s rights or livelihood (for example, credit, employment, housing, insurance, or similar decisions) without separate independent verification and ensuring compliance with applicable laws. The AI’s information about individuals might be unreliable or out of context.
Potentially Offensive or Biased Content: The AI might produce content that is biased, offensive, or otherwise objectionable, or that appears inconsistent with muukly’s values. You understand that you may be exposed to content that could be offensive, erroneous, or inappropriate. muukly does not endorse any opinions or statements the AI may generate. If Output includes mention of third-party products, services, or entities, that does not imply any endorsement by muukly or by those third parties.
No Actions in the Real World: The AI might sometimes describe actions or steps as if it performed them, but it cannot actually act outside of generating text, image, or audio. Always use your own judgment before taking action based on AI outputs.
Service May Have Errors/Outages: Because muukly is in Beta, the Service (including AI bots) may not operate properly or be fully functional at all times. You may experience errors, interruptions, or unexpected results, and your access to muukly is not guaranteed. Use of muukly might result in loss of data or other issues; please keep backups of any important content. We are not liable for errors or outages that occur as we improve the Service.

By using muukly, you accept these risks and agree that muukly shall not be responsible for any harm or loss arising from your reliance on AI-generated Output. If you find any Output to be problematic (e.g. incorrect or harmful), we encourage you to provide feedback or discontinue use of that content.

Third-Party AI Services

muukly functions as a wrapper around a third-party AI service. Specifically, muukly uses external LLM providers (such as OpenAI’s GPT model) to generate responses. You acknowledge that third-party providers power the AI behind muukly and that muukly does not control the operation of those AI models.

No Responsibility for Third-Party Content: muukly is not responsible for the content of the AI outputs or any services provided by these third-party AI models. Any responses or “Output” you receive are generated by the third-party AI based on your prompt. While muukly facilitates access, it does not guarantee and is not liable for the accuracy, quality, or reliability of content provided by the third-party AI. If the underlying AI service fails, produces incorrect data, or becomes unavailable, muukly is not responsible for such issues.

Data Sharing with AI Provider: In order to generate answers, muukly must transmit your prompts and related data to the third-party AI provider. By using muukly, you consent to muukly sharing the content of your interactions (including your queries and any uploaded information) with the AI provider for the purpose of obtaining a response. Do not include sensitive personal information in your prompts. We strongly advise you not to share any sensitive data such as passwords, financial information, health information, or personally identifiable information in the content you submit to muukly. While muukly does not intentionally share personal account details (like your name or email) with the AI provider, the content of your query itself will be visible to that provider in order to process the request. Please review our Privacy Policy for more details on data handling.

Third-Party Policies: Because muukly uses third-party AI, your use of the Service must also comply with the terms and usage policies of the AI provider. For example, you must not use muukly to engage in activities that would violate OpenAI’s usage policies (such as generating disallowed content). Any restrictions or rules imposed by our third-party AI providers are incorporated into these Terms. muukly reserves the right to limit or block any use of the Service that breaches the provider’s terms or causes risk of breach.

User Content and Intellectual Property

Your Input Content: You retain any ownership rights you have in the content you provide to muukly (your prompts, questions, or any files you upload as Input). muukly does not claim ownership of your Input. By submitting content, however, you grant muukly a license to use your Input for the purpose of providing the Service - i.e., to transmit your requests to the AI, to generate and return Outputs, and to otherwise operate and improve muukly. This may include storing your Input and any AI-generated Output, and using it to develop or enhance features (for example, to debug issues or to train muukly's systems, in accordance with the Privacy Policy). This license is worldwide, non-exclusive, royalty-free, and sublicensable to the extent needed to work with our service providers (such as the AI model provider). We will not use your Input for any purpose not related to providing or improving muukly without your permission.

AI-Generated Output: Subject to this section and the rights of the AI provider, muukly grants you a right to use the AI-generated Output for any lawful purpose. To the extent any Output is protectable by intellectual property rights, those rights may be deemed to belong to you as the user (for example, OpenAI’s policies generally allow users to retain usage rights in the outputs they receive). However, you acknowledge that Output may include or be derived from the AI's training data, which could include elements of third-party content. muukly makes no representations that Outputs will be unique or free of third-party claims. The same or similar prompts from other users might result in identical or similar Outputs. If you choose to publish or use Outputs, you are responsible for doing so in compliance with applicable laws, including copyright and privacy laws. muukly takes no responsibility for any claims or liability arising from your use of Outputs, including any allegation that the Output infringes someone else's rights. You use the Output at your own risk.

muukly Intellectual Property: Unless otherwise indicated, muukly and its licensors retain all rights, title, and interest in and to the Service itself, including the website, software, design, and muukly branding. muukly’s trade name, logos, and all related names and service marks are the property of muukly. You may not use muukly’s name or marks without our prior written consent, except as necessary for attribution (for example, stating that content was generated via muukly). You obtain no ownership rights in the Service or its content (aside from your own inputs/outputs as described above). If you provide feedback or suggestions to muukly about the Service, we may use your feedback without obligation to you, and you hereby grant muukly the right to do so freely.

Privacy and Data

Your privacy is important to us. Our practices regarding the collection and use of user information are described in our Privacy Policy. By using muukly, you agree that muukly can collect, use, and share your information as described in the Privacy Policy. This includes the sharing of data with our third-party AI provider to facilitate responses, as noted above.

No Sensitive Data in Prompts: As stated, you should not enter personal data or sensitive information into the prompts. muukly is not designed to process protected personal information (such as health or financial account info) and we assume you will not include such data. We disclaim any responsibility for any personal data you choose to include in your prompts beyond what our Privacy Policy covers.

Suspension and Termination

Termination by You: You are free to stop using muukly at any time. You may delete your account (if accounts are implemented) or simply cease using the Service.

Termination or Suspension by muukly: We reserve the right to suspend or terminate your access to muukly (including any account) at our discretion, with or without notice, if we believe that: (a) you have violated these Terms (or any incorporated policies); (b) it is necessary to comply with law or requests of law enforcement; or (c) your use of muukly poses a security risk or could adversely impact muukly or any other person. In particular, any misuse of the Service or violation of the Acceptable Use rules may result in immediate suspension or termination. We may also suspend the Service, in whole or part, as needed to protect the platform or if required by our third-party providers.

Disclaimers of Warranties

AS-IS Service: muukly (the Service) is provided “AS IS” and “AS AVAILABLE”. Use of the Service is at your own risk. To the maximum extent permitted by law, muukly disclaims all warranties and conditions, whether express, implied, or statutory, with respect to the Service and any content (including AI Output). This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties that the Service is complete, error-free, reliable, or will meet your needs. We do not warrant that muukly will be uninterrupted, secure, or that data or content won’t be lost or altered in transmission.

No Guarantee of Results: muukly makes no guarantee regarding the results or outputs obtained from the Service. All information and content provided through muukly (including AI-generated answers) are provided without any assurance or warranty that they are correct, reliable, or suitable for any particular use. You assume all responsibility for any decisions or actions you take based on information obtained from muukly.

Beta Services: Given muukly’s beta status, you acknowledge that the Service may have unknown issues, and no warranty is made that beta features will be generally available or error-free. Any beta or experimental features are provided solely for testing and evaluation.

No Liability for Content: muukly does not warrant or ensure that any content you obtain through the Service is free of harmful components (such as malware), or that any content (including links provided in Output) will be safe to access. We are not responsible for any content that you or any other user generates, posts, or shares using our Service. You understand that no information or advice obtained from muukly (whether written or oral) creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Limitation of Liability

Limited Liability: To the extent not prohibited by law, in no event will muukly (or its owners, officers, employees, affiliates, agents, or suppliers) be liable to you for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, business, or goodwill, arising out of or related to your use of (or inability to use) muukly or any content obtained through muukly. This limitation applies under any theory of liability, whether in contract, tort (including negligence), strict liability or otherwise, and even if we have been advised of the possibility of such damages.

Cap on Liability: To the fullest extent permitted by law, muukly’s total aggregate liability for all claims arising from or related to the Service or these Terms will not exceed the greater of: (a) the total amount (if any) you have paid to muukly for the Service in the twelve (12) months immediately before the event giving rise to liability, or (b) USD $100 (or equivalent local currency)[11]. If you have paid nothing, the $100 figure is the maximum. This limitation is cumulative and not per-incident.

Third-Party Liability: The above limitations of liability shall also benefit muukly’s third-party service providers and partners (such as the AI model provider) to the extent those parties might be deemed liable for any claim arising from the Service. They are intended third-party beneficiaries of this section.

Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law (for example, certain liabilities under applicable product liability law, or for gross negligence or willful misconduct, which by law cannot be limited or excluded). In jurisdictions that do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, the liability of muukly will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless muukly and its affiliates, and their respective directors, officers, employees, and agents (the "muukly Parties"), from and against any and all losses, liabilities, claims, demands, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service (including any content you generate or decisions you make based on AI Output); (b) your violation of these Terms or any applicable law or regulation; (c) any content you provide (including claims that your Input or Output infringes or misuses someone’s rights or violates law); or (d) your misuse of the Service, including use in breach of the Acceptable Use rules or in violation of any third-party provider’s policies. muukly reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with muukly’s defense of such claim. You may not settle any such claim without muukly’s prior written consent, unless the settlement releases muukly of all liability.

This indemnity obligation will survive any termination of your relationship with muukly.

Changes to the Service and Terms

Changes to Service: As an evolving platform, muukly may modify, update, or discontinue the Service (or any part of it) at any time. We may add or remove functionalities or features, or we may suspend or stop the Service altogether. We will try to notify users of any major changes or discontinuation, but we are not obligated to do so. You acknowledge that features may be added or removed without notice and that any data stored in the Service (such as conversation history) may be lost as a result of changes. We are not liable for any modification, suspension, or termination of the Service, or for any resulting loss.

Changes to Terms: We may revise or update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website (and updating the "Last updated" date above) and/or by other means (such as email if we have your contact information). Your continued use of muukly after updated Terms become effective will constitute your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service. We encourage you to review these Terms periodically for any changes.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them or the use of muukly shall be governed by and construed in accordance with applicable law. Unless otherwise required by the law of your country of residence, the law that will apply is the law of the jurisdiction where muukly is operated from (without regard to conflict of law principles).

By using muukly, you agree that any disputes or claims will be resolved in accordance with this governing law and the following provisions:

Jurisdiction: You agree to submit to the personal and exclusive jurisdiction of the competent courts located in muukly's home jurisdiction for the resolution of any disputes, unless applicable law requires otherwise. (If you reside in a country that does not allow this choice of forum, this provision may not apply to you to the extent of such restriction.)
Informal Resolution: Before filing any formal legal claim, you agree to first contact us and attempt to resolve the issue informally. We similarly agree to attempt in good faith to resolve any dispute or concern internally before resorting to legal action.
Arbitration and Waiver (if applicable): At our sole discretion, muukly may require any dispute (to the extent not resolved informally) to be resolved through binding arbitration on an individual, non-class basis. If we elect arbitration, we will notify you, and the arbitration will be conducted under rules such as those of the American Arbitration Association (AAA) or a similar arbitration body. You hereby waive any right to participate in a class-action lawsuit or class-wide arbitration against muukly, to the fullest extent permissible by law. (If you do not agree to this arbitration clause, you must discontinue use of the Service.)
Time Limit on Claims: To the extent permitted by law, any claim or cause of action arising out of or related to your use of muukly or these Terms must be filed within one (1) year after such claim arose, or else it will be permanently barred.

Miscellaneous

Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms provided for specific features) constitute the entire agreement between you and muukly regarding the Service, and supersede any prior agreements or understandings, whether written or oral, relating to your use of muukly.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. muukly’s failure to enforce any right or provision under these Terms will not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms (or any rights or obligations in them) without muukly’s prior written consent. muukly may assign or transfer this agreement to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.

Third-Party Beneficiaries: Aside from the AI provider and other service providers expressly mentioned as beneficiaries of certain provisions (e.g., regarding disclaimers and liability limitations), there are no third-party beneficiaries to these Terms. These Terms are between you and muukly only.

Headings: Section titles and headings in these Terms are for convenience only and have no legal effect.
